James B. Tiffany
President and Chief Operating Officer of TLCVision
James B. Tiffany was named President and Chief Operating Officer in April of 2009 after serving as President of what is now Sightpath Medical from 2003 to 2009. Prior to that time, Mr. Tiffany was Vice-President and General Manager of TLC’s access cataract/glaucoma business – Midwest Surgical Services (MSS). He began his tenure with TLC Vision Corporation as Vice President of Sales for TLC’s access refractive business, LaserVision in January, 1999. LaserVision and MSS merged in Bloomington, MN as Sightpath Medical in 2007 with Mr. Tiffany as its president. Prior to joining TLC Vision, Mr. Tiffany was employed in various positions of growing responsibility with Bausch and Lomb Surgical from 1985-1998, ending his tenure there as Vice President of Commercial Operations, Americas. Jim graduated Magna Cum Laude from Arizona State University with a Bachelor of Science degree in Business Management, and earned his Masters of Business Administration degree from Washington University in St. Louis.

William J. McManus
Interim Chief Financial Officer of TLCVision
Mr. McManus has more than 20 years of senior financial, operational, and consulting experience in turnaround/restructuring environments. He is adept at quickly assessing operational strengths and weaknesses, developing and implementing turnaround plans resulting in increased shareholder value. He has served in senior management positions in a variety of industries, such as: Automotive, Media & Publishing, Home Furnishing, Consumer Goods, Packaging, Forest Products, Capital Equipment, and Healthcare. Accomplishments include debt restructure, raising equity capital, business segment evaluation & rationalization, operations improvement of both cost structure and capacity utilization. Prior to joining CDG in February 2009, Mr. McManus worked at Horizon Management from 2001 – 2009 as Managing Director specializing in Crisis / Interim Management. He has also worked as an independent consultant where he held positions in a number of assignments including: CFO, CRO and CEO. Mr. McManus is an experienced Board Member and has worked with Private Equity firms in advisory capacities. Mr. McManus graduated from Notre Dame where he received a Bachelor of Business Administration with a concentration in finance.

Michael Gries
Chief Restructuring Officer of TLCVision
Michael Gries is a nationally recognized leader in the restructuring profession with more than 25 years experience advising companies and creditors on complex corporate reorganizations. Since 1984, Mr. Gries has specialized in providing business and financial advice to Boards of Directors, management, investors and other parties in interest in distressed and turnaround situations. Prior to co-founding CDG, Mr. Gries was a Partner and Director of the Northeast Restructuring and
Reorganization practice of Ernst & Young LLP, which was at the time one of the largest restructuring practices in the country. Mr. Gries has a BS in accounting and finance from Northeastern University and is a member of the AICPA, the New Jersey State Society of Certified Public Accountants and the Association of Insolvency Accountants and has spoken at several conferences on the subject of business restructurings.

Henry Lynn
Executive Vice President, Information Systems of TLCVision
Henry Lynn is Executive Vice President, Information Systems of TLCVision. During 1994 Mr. Lynn was Vice President Information Systems for Hawker Siddeley Canada, Inc. and from 1995 to March 1998 performed in that role for BeaconEye Inc. Prior to 1994, Mr. Lynn was Vice President, Information Systems of Indal Ltd., a large diversified multi-plant manufacturing organization.

James J. Hyland
Vice President, Investor Relations of TLCVision
James J. Hyland joined TLCVision as Vice President, Investor Relations in 2007. Prior to joining TLCVision, Mr. Hyland was VP Investor Relations and Corporate Communications for USF Corp, a $2.4 billion Chicago based transportation holding company. In addition, Mr. Hyland was Senior Vice President Investor Relations for Comdisco, a Rosemont, Illinois based Fortune 500 financial and technology services firm. During his 18 years with the firm, he developed and directed a comprehensive global strategic communications program for the company.
Earlier in his career, Mr. Hyland spent two years with Deloitte Touche as a consultant as well as two years with G.D. Searle Corporation, now part of Pfizer. Mr. Hyland is a graduate of the University of Illinois with a BS in Finance.

Charles Judy
Vice President, Human Resources of TLCVision
Charles Judy joined TLCVision as Vice President of Human Resources in November 2007. Prior to joining TLCVision, Mr. Judy spent the majority of his career at Deloitte & Touche LLP. Mr. Judy held a number of positions at Deloitte & Touche LLP ranging from Audit Manager to National Director of Executive Talent Acquisition. Mr. Judy has a proven track record orchestrating change management, integration of acquisitions, benefits program management, work force and succession planning, global outsourcing and candidate sourcing. Mr. Judy received his Bachelor of Arts degree in Management from Tulane University and is a Certified Public Accountant.

Warren S. Rustand
Chairman of TLCVision's Board of Directors
Warren S. Rustand is the Chairman of TLCVision's Board of Directors. He has been a director of TLCVision since October 1997. Mr. Rustand is currently the Managing General Partner of Harlingwood Capital Partners, a San Diego-based company. Mr. Rustand was the Chairman and Chief Executive Officer of Rural/Metro Corporation, a U.S. public company providing ambulance and fire protection services, from 1996 to August 1998. Mr. Rustand was Chairman and Chief Executive Officer of The Cambridge Company Ltd., a merchant banking and management consulting company, from 1987 to 1997. From 1994 to 1997, Mr. Rustand was also the Chairman of 20/20 Laser Centers, Inc.

Richard L. Lindstrom, M.D.
Director of TLCVision
Richard L. Lindstrom, M.D. has served as a director of TLCVision since May 2002 and was previously a director of LaserVision from November 1995 . Since 1979, Dr. Lindstrom has been engaged in the private practice of ophthalmology and has been the President of Minnesota Eye Consultants P.A., a provider of eyecare services, or its predecessor since 1989. In 1989, Dr. Lindstrom founded the Phillips Eye Institute Center for Teaching & Research, an ophthalmic research and surgical skill education facility, and he currently serves as the Center’s Medical Director. Dr. Lindstrom has served as an Associate Director of the Minnesota Lions Eye Bank since 1987. He is a medical advisor for several medical device and pharmaceutical manufacturers. From 1980 to 1989, he served as a Professor of Ophthalmology at the University of Minnesota. Dr. Lindstrom received his M.D., B.A. and B.S. degrees from the University of Minnesota.

Toby S. Wilt
Director of TLCVision
Toby S. Wilt has been a director of TLCVision since January 2004. A Certified Public Accountant (non-practicing), Mr. Wilt currently sits on the boards of Outback Steakhouse, Inc. and 1st Source Corporation. His past directorships include C&S Sovran (a Southeastern bank holding company), Genesco, Inc. (a manufacturer and retailer of footwear and apparel), Titan Holdings (an insurance company) and First American Corporation (a regional bank holding company). Mr. Wilt is also the Chairman of privately held Christie Cookie Company (a manufacturer and distributor of baked food products). From 2000 through 2001, he served as the Chairman of the World President's Organization.

Michael D. DePaolis, O.D.
Director of TLCVision
Michael D. DePaolis, O.D. is a co-founder and member of DePaolis and Ryan, O.D., PC, a professional optometric corporation located in Rochester, NY, since 1995. He is a Fellow of the American Academy of Optometry and has been the Chief Optometric Editor of Primary Care Optometry News since 1995. Dr. DePaolis is an Adjunct Clinical Professor of Optometry at the Pennsylvania College of Optometry and is a Clinical Associate in the Department of Ophthalmology at the University of Rochester School of Medicine. He has served as a member of the Professional Advisory Panel for Refractive Surgery Services/Data-Site and served as a Visiting Professor at the L.V. Prasad Eye Institute in Hyderabad, India. Dr. DePaolis also served on the editorial boards of Contact Lens Spectrum and Review of Optometry. He has also served as an FDA Clinical Investigator and participates in the FDA Speaker Bureau.

Olden C. Lee
Director of TLCVision
Olden C. Lee currently serves on the board of directors of Starbucks Coffee Company, a specialty coffee company, and as the Chairman of the Foreign Service Impasse Disputes Panel, a panel established to resolve collective bargaining impasses with employees in the U.S. Foreign Service. Mr. Lee is also the Principal of Lee Management Consulting Company, a management consulting company he founded. Mr. Lee worked with PepsiCo, Inc., a leading global snack and beverage company, for 28 years in a variety of positions, including serving as senior vice president of human resources of its Taco Bell division and senior vice president and chief personnel officer of its KFC division. Mr. Lee retired from PepsiCo in 1998. Mr. Lee also serves on the Executive Committee of the advisory board of the Business School of the University of Arizona.

Jay T. Holmes
Director of TLCVision
Jay T. Holmes has been self-employed as an attorney and business consultant since mid-1996. From 1981 to 1996 Mr. Holmes held several senior management positions at Bausch & Lomb, Inc., retiring as Executive Vice President and Chief Administrative Officer. Bausch & Lomb is a global company engaged in the eye care business. Mr. Holmes served on the board of directors of Bausch & Lomb from 1986 to 1996. Mr. Holmes serves presently, and has served, on the boards of directors of a number of other eye care related companies, including Visx, Inc. from 1998 to 2005, IntraLase, Inc. from 2005 to 2007, OccuLogix, Inc. from 2005 to present, and ReVision Optics, Inc. from 2007 to date.

Gary F. Jonas
Director of TLCVision
Gary F. Jonas is on the practitioner faculty of The Johns Hopkins University MBA program, teaching a graduate course in Managerial Strategy and Policy. He also is a member of the National Association of Corporate Directors, Chief Executives Organization, World Presidents Organization, and was the founding chairman of the Washington Metro chapter of YPO. Mr. Jonas chairs the community investment committee of the Community Foundation for the National Capital Region.
In 1993, Mr. Jonas co-founded and was CEO of 20/20 Laser. In February 1997, 20/20 was acquired by TLCVision (TLCV NASDAQ). In 2000, Mr. Jonas left TLC to be the first managing partner of Venture Philanthropy Partners which is a $30 million fund created to invest in programs serving low income children in education and learning. In 2006, Mr. Jonas formed Medical Body Sculpting which now has two centers doing non surgical fat removal. He also worked in human services consulting for 20 years serving as CEO of University Research Corporation for 15 years. Mr. Jonas is a graduate from the Harvard Business School.
